These General Terms and Conditions of Sale (the “Terms and Conditions”) govern the sale of products sold directly by B2N Trading Pte. Ltd. ("Ming Yan", "the company", "we", “our” and “us”) whose registered office is [10 ADMIRALTY STREET #02-05, NORTH LINK BUILDING, SINGAPORE (757695)], and the company registration number is [UEN 201902493N] in Singapore through the website "www.mingyan.sg".

Your use of the Website to purchase a product or otherwise, indicates your agreement to comply and to be bound by the following Terms and Conditions, and General Terms of Use ("Terms of Use" available at www.mingyan.sg/general-terms-of-use"). Your acknowledgement of the use of the Website, which is hereby incorporated by reference, other notices which may be posted on the Website, and all applicable laws and regulations. These are the terms and conditions on which we supply Ming Yan's products to you. You are obligated to read these terms carefully before you submit your order to us. These terms help you better understand how Ming Yan provides the products to you, how to resolve transaction issues, and other relevant information. Ming Yan reserve the right to amend, change or end the contract based on our discretion. If you do not agree with any term in these Terms and Conditions and Terms of Use, please do not use or place any order(s) through the Website.

ORDERS

The sale of Products through the Website is restricted to consumers (hereinafter referred to individually as "Customer" or, collectively, "Customers") meaning natural persons acting for purposes that are not related to business, commercial, entrepreneurial, artisanal or professional activities. Customers must be over the age of 18 years and capable of concluding a legally binding contract. If a person is under 18 years of age and wishes to place an Order, the person must obtain the consent and agreement of his or her parent or guardian to the Terms and Conditions. The parent or guardian will be the Customer for the purposes of the Terms and Conditions.

 

All orders are subject to written acceptance by Ming Yan. It is your responsibility to check that the information displayed in your Shopping Bag accurately reflects your selection before confirming your order. Upon confirmation (i.e. clicking the “Place Order” button as explained below), the order will be sent to Ming Yan for processing and you will receive an Acknowledgment email containing the main details of your order. Note that the Acknowledgement Email does not represent acceptance of your order. After processing, upon shipment of the product you have ordered, we will send you an Order Confirmation email of your order. In the event that email confirmation is not sufficient, Ming Yan reserve the right to reach out to you for verbal confirmation of orders.

 

The images of the products on our Website are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that a device’s display of the colour accurately reflects the colour of the products. Your products may vary slightly from those images. Accordingly, to the maximum extent permitted by law, Ming Yan shall not be liable for any error or inaccuracy in the photographs or graphical representations of Ming Yan products displayed on the Website. If you have any questions about the products, you may contact the Concierge Service department through the Contact section (“Contact” available at "www.mingyan.sg/contact" of the Website.

Ming Yan has the right to cancel any order placed by you in the event that you have been involved in a dispute concerning a prior order, or if Ming Yan has reasonable ground to suspect that you have violated these Terms and Conditions, or are/appear to be engaged in fraudulent activities or use of purchased products other than for personal use as permitted by these Terms and Conditions. Ming Yan has the right to refuse any order at our discretion.

CONFIRMATION OF ORDERS

In order to process the order, you must select the product you wish to buy and click the “Add to Cart” button. The selected products will then be included in the “Shopping Bag” and the order can be placed by filling out the order form and accepting these Terms and Conditions. Prior to submitting the order, you are required to verify the accuracy of the information provided and make the necessary corrections. The Order is submitted when you click the “Pay Now” button. After placing an order, you will receive an automatic e-mail confirmation from us acknowledging that we have received your order. Please note that clicking the “Place Order” button does not mean that your order has been accepted and the purchase is completed. Your order constitutes an offer to us to buy a Product. Upon receipt, the order will be submitted to Ming Yan for processing, and the order cannot be changed or cancelled except as expressly provided in these Terms and Conditions or otherwise required by applicable law. All orders are subject to acceptance by us. Ming Yan will confirm such acceptance by sending you an Order Confirmation email.

Once you receive the Order Confirmation, your order will be in process, you are not allowed to change or amend the shipping address and Ming Yan will not be liable for your wrong input of address. In the event that you need to make any changes to your shipping address, please contact our Customer Service as soon as possible and we will do our best to assist you. Ming Yan will not be responsible or liable for your own negligence. 

Upon sending you the Order Confirmation email, the contract between you and Ming Yan will be formed. The contract will relate only to those Products whose dispatch we have confirmed in the Order Confirmation. Ming Yan files for its own records evidence of all transactions between Ming Yan and its customers. In the event of a dispute between Ming Yan and one of its customers relating to a transaction conducted on the Website, the Terms and Conditions and Order Confirmation shall be treated as evidence of the details of the transaction.

AVAILABILITY

Ming Yan reserves the right to change the assortment of items offered on the Website from time to time without prior notice to the customers. Ming Yan will not be liable if any product is out of stock or otherwise unavailable.

In the event that any product you select becomes unavailable after we send an Order Confirmation of the order, our Customer Service will inform you by phone or email as soon as possible to advise you on the next step.

PRICES AND PAYMENTS

The prices of Ming Yan products are indicated in local currency (SGD) inclusive of local tax (GST) based on regulations. Prices are excluding shipping costs if any, please read the Shipping section for more information on shipping costs.

Ming Yan reserves the right to modify the price of products offered on the Website at any time without prior notice to you. You will be charged the prices displayed on the Website at the time the order was confirmed by you by clicking on the “Place Order” button.

You are responsible for the costs incurred when using means of distance communication in connection with placing an order with us (cost of internet access, telephone costs), and these costs do not differ from the standard rate.

 

Ming Yan reserves the right to correct any errors or inaccuracies on the Website or to cancel orders if any such information is inaccurate. You will be required to pay for any order placed on the Website immediately upon clicking on the “Place Order” button. The amount of the purchase price of the products ordered by you will be blocked on your credit or debit card and you will only be charged upon shipment of the products to you.

Please note that your order must contain a delivery address located within Singapore. Orders with shipping addresses other than a location within Singapore will not be processed. Please read the Delivery Zone section / Non-Delivery Zone section for more information on restricted delivery area.

DELIVERY ZONE

Products purchased via the Website can only be delivered within Singapore. The products will be shipped to the delivery address specified in the Order Confirmation which you input during the ordering process.

Shipping to the below-mentioned areas is restricted, and Ming Yan will not accept any orders within these non-delivery zones:
Jurong Island, Airports, Cargo Complex, shipyards, PSA Terminals, Government Buildings, SAF Camps, Alps Ave, F1 Restricted Area and Outlying areas (postal code starting with 69,70,71).

PROBLEMS OF DELIVERY

Any failure to deliver or a delivery exceeding 10 (Ten) working days from the shipment date or any discrepancy between ordered and delivered products should be promptly reported to our Customer Service department by phone or email as soon as possible.

RETURN POLICY
 

You may return any online purchase for an exchange if the product is found to be damaged or incorrect.

All returns must include the original sales receipt and be returned in original packaging. Please note that all returns and exchanges are subject to a quality assurance inspection process before they are accepted. Any product with signs of consumption or damage, or whose original seal, if any, has been removed cannot be accepted for return.

You may be held liable in the case of depreciation of the value of the product as a result of handling that is not consistent with preservation of the nature, characteristics, and, where applicable, the correct operation of the products. 

You may contact Customer Service for assistance with regards to returning of products. Once we received the returned product, you will be notified via email that your refund has been processed.

WARRANTY

Inline with the statutory guarantee (The Consumer Protection (Fair Trading) Act) that may apply to the Products you purchase from us which cannot be excluded or modified, such as the Lemon Law under Sections 12A to 12F of The Consumer Protection (Fair Trading) Act (CPFTA), you are entitled to warranty for your purchase.

You may submit a claim under the Warranty by issuing a notice to us at hello@mingyan.sg, identifying the defective Products and the nature and extent of the defect. 
If you submit a valid claim under the Warranty we will, at our option:
(a) repair the Products to which the defect relates; or
(b) replace the Products to which the defect relates; and
(c) pay the costs associated with the delivery of the Products to us under this warranty.

For consumer rights in respect of non-conforming good, under the Lemon Law, you are entitled:
a) under and in accordance with section 12C, to require the transfer or to repair or replace the goods; or
(b) under and in accordance with section 12D to require the transfer or to reduce the amount to be paid for the transfer by the transferee by an appropriate amount; or to rescind the contract with regard to the goods in question.

FORCE MAJEUR

We are not responsible for any delay in, or failure of, the performance of our obligations under any of these Terms and Conditions arising from any cause beyond our reasonable control including any of the following: act of God, governmental act, war, fire, flood, explosion or civil commotion, failure in information technology or telecommunications services, failure of a third party (including failure to supply data) and industrial action.

Please note that nothing contained in these Terms and Conditions in any way affects your statutory rights.

WAIVER 

If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. For example, if you miss a payment and we do not chase you but we continue to provide the products, we can still require you to make the payment at a later date.

SEVERANCE

If any provision of these Terms and Conditions is found to be invalid by law, that provision is severed and the remainder of the Terms and Conditions remain valid and enforceable.

CHANGES TO THESE TERMS AND CONDITIONS

We reserve the right to change these Terms and Conditions from time to time. You should check the Terms and Conditions before placing an Order.
